1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and True Tech Professionals Private Limited ("Company," "we," "us," or "our"), a company incorporated under the laws of India (CIN: U72900HR2019PTC082640), with its registered office at Office No. 3, HSIDC, Plot no 09, Ground Floor, Dhi Square, Sector 22, IT Park Rd, Panchkula, Haryana 134109, India.

By accessing, registering for, or using any of our products, services, websites, or applications, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our services.

If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" and "your" will refer to that organization.

2. Definitions

• "Company" refers to True Tech Professionals Private Limited and its officers, directors, employees, agents, and affiliates.
• "Services" refers to all products, applications, websites, APIs, and features operated by the Company, collectively and individually.
• "User" refers to any individual or entity that accesses or uses any of the Services, whether as a registered account holder or visitor.
• "Student" refers to any User registered on MyAiGuru as a learner, typically aged 14-16 years (grades 9-10).
• "Platform" refers to any specific product or application within the Services (e.g., MyAiGuru, PipeAI, TrueNorth ATS).
• "Content" refers to all text, images, audio, video, data, AI-generated outputs, and other materials available through or created within the Services.
• "Subscription" refers to a paid plan that grants access to premium features of any Platform.

3. Products & Services Covered

These Terms apply to all products and services operated by the Company:

• MyAiGuru (myaiguru.co.in) — AI-powered adaptive learning platform for students grades 9-10
• PipeAI (pipeai.truetechpro.io) — AI-powered B2B sales automation
• TrueNorth ATS (ats.truetechpro.io) — AI-powered recruitment system
• Mission Control (mission-control.truetechpro.io) — Client operations dashboard
• Ulqix BidEngine (ulqix.com) — AI bid intelligence platform
• Das Jyotish (dasjyotish.com) — AI-powered Vedic astrology platform
• truetechpro.io — Corporate website

Individual Platforms may have additional terms that supplement these general Terms. In the event of a conflict between Platform-specific terms and these Terms, the Platform-specific terms shall prevail for that Platform.

4. Account Registration & Security

• Email Verification: All accounts require email verification before activation. You must provide a valid, functioning email address that you own and control.
• Password Requirements: Passwords must meet minimum security standards as specified during registration (minimum 8 characters, including at least one uppercase letter, one lowercase letter, and one number). You are responsible for maintaining the confidentiality of your password.
• One Account Per Person: Each individual may maintain only one account per Platform. Creating multiple accounts to circumvent usage limits, bans, or subscription restrictions is prohibited.
• Account Sharing Prohibited: Account credentials are personal and non-transferable. You may not share your login credentials with any other individual. If you are an organization, each user must have their own account.
• Accurate Information: You agree to provide accurate, current, and complete information during registration and to update your information to keep it accurate and current.
• Account Security: You are responsible for all activity that occurs under your account. You must notify us immediately at info@truetechpro.io if you suspect unauthorized access to your account.

5. Subscription & Payment Terms

• Pricing: Subscription pricing is determined at the point of sale and is displayed on the relevant Platform's pricing page. Prices are listed in Indian Rupees (INR) unless otherwise stated and are inclusive of applicable taxes.
• Payment Processing: All payments are processed securely through Razorpay, our PCI-DSS compliant payment gateway. We accept major credit cards, debit cards, UPI, net banking, and other payment methods supported by Razorpay. We do not store your payment card details.
• Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle (monthly or annual, as selected) unless cancelled before the renewal date. You will be charged the then-current subscription rate at renewal.
• Cancellation: You may cancel your subscription at any time through your account settings or by contacting us at info@truetechpro.io. Upon cancellation, you will retain access to premium features until the end of your current billing period.
• Refund Policy: We offer a 7-day cooling-off period for unused subscriptions. If you request a refund within 7 days of purchase and have not substantially used the premium features, we will issue a full refund. After this period, subscriptions are non-refundable. Refunds are processed within 5-10 business days via the original payment method.
• Free Trials: Where offered, free trials automatically convert to paid subscriptions at the end of the trial period unless cancelled. You will be notified before the trial expires.

6. Acceptable Use Policy

By using our Services, you agree not to:

• Scrape, crawl, or use automated tools to extract data from any of our Platforms without written authorization.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any of our applications or AI models.
• Share, transfer, sell, or distribute your account credentials to any third party.
• Attempt to cheat on quizzes, assessments, or examinations on MyAiGuru, including but not limited to using external tools, sharing answers, or manipulating quiz timers.
• Use abusive, threatening, harassing, defamatory, or discriminatory language in AI chat interactions, support communications, or any public-facing area of our Platforms.
• Upload, transmit, or distribute malware, viruses, or any other malicious code through our Services.
• Attempt to gain unauthorized access to other users' accounts, our servers, or internal systems.
• Use our Services for any illegal purpose or in violation of any applicable law or regulation.
• Interfere with or disrupt the integrity or performance of our Services or the data contained therein.
• Use our AI-powered features to generate content that is illegal, harmful, misleading, or infringes on the rights of others.
• Resell, redistribute, or commercially exploit any part of our Services without our written consent.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without prior notice.

7. AI-Generated Content Disclaimer

Our Services utilize artificial intelligence to generate content including but not limited to educational materials, quiz questions, study explanations, recruitment recommendations, sales communications, bid proposals, and astrological interpretations.

You acknowledge and agree that:

• AI-generated content is provided for educational, informational, and business purposes and does not constitute professional, legal, medical, financial, or academic advice.
• AI-generated content may contain errors, inaccuracies, or omissions. While we implement quality controls and review mechanisms, we do not guarantee the accuracy, completeness, or reliability of AI outputs.
• You are responsible for independently verifying any AI-generated content before relying on it for important decisions.
• Educational content on MyAiGuru is supplementary to formal education and is not a substitute for classroom instruction, certified tutoring, or official CBSE/NCERT materials.
• Astrological content on Das Jyotish is generated for entertainment and personal reflection and should not be used as the basis for significant life decisions.
• Recruitment recommendations on TrueNorth ATS are advisory and should be validated by human recruiters before making hiring decisions.

8. Intellectual Property

Our Content: All software, designs, text, graphics, interfaces, algorithms, AI models (as configured and fine-tuned by us), and other materials created by the Company are owned by or licensed to True Tech Professionals Private Limited and are protected by Indian and international copyright, trademark, and other intellectual property laws.

NCERT/CBSE Content: Educational content sourced from NCERT textbooks and CBSE curriculum materials belongs to the National Council of Educational Research and Training (NCERT) and the Central Board of Secondary Education (CBSE), respectively. We use this content under fair use for educational purposes. NCERT and CBSE trademarks belong to their respective owners.

User-Generated Content: You retain ownership of content you create or submit through our Services (such as chat messages, support tickets, uploaded resumes, or event logs). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, store, and display that content as necessary to provide and improve our Services. This license terminates when you delete your content or account.

Restrictions: You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any Company Content without our prior written consent.

9. MyAiGuru Specific Terms

The following terms apply specifically to users of the MyAiGuru platform:

• Mastery Requirement: MyAiGuru uses a mastery-based learning system. Students must achieve a 90% mastery threshold on each topic before the system recommends progression to the next topic. This is an educational design feature, not a restriction on access.
• Daily Chat Limit: Premium subscribers have access to the AI tutor chat with a limit of 50 queries per day. This limit resets at midnight IST. Unused queries do not roll over to the next day.
• Parent Dashboard: Parents and legal guardians who register through the parent dashboard can monitor their child's learning progress, quiz scores, mastery rates, and summarized chat activity. Parent accounts are linked to student accounts during registration.
• Educational Content Only: MyAiGuru is designed exclusively for educational purposes aligned with the CBSE curriculum for grades 9-10. The AI tutor is configured to respond only to educational queries. Attempts to use the AI tutor for non-educational purposes may result in the query being declined.
• Age Requirement: MyAiGuru is intended for students aged 14-16. Students under 18 must have parental consent to use the platform, obtained during the registration process.
• Academic Integrity: Students are expected to use MyAiGuru as a learning aid, not as a tool for completing homework or assignments for submission to schools. We encourage honest engagement with the learning process.

10. Data Protection

Your use of our Services is also governed by our Privacy Policy, available at truetechpro.io/privacy. The Privacy Policy explains how we collect, use, store, and protect your personal data, including details on children's privacy, AI data processing, third-party service providers, and your rights under the Digital Personal Data Protection Act, 2023. By using our Services, you consent to data practices described in the Privacy Policy.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Our Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• We do not guarantee that our Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
• We do not guarantee any specific academic outcomes, exam results, or improvements in performance for students using MyAiGuru. Educational outcomes depend on many factors beyond our control including individual effort, prior knowledge, and classroom instruction.
• We are not liable for decisions made based on AI-generated content, including recruitment decisions (TrueNorth ATS), sales outcomes (PipeAI), bidding results (Ulqix), or personal decisions influenced by astrological content (Das Jyotish).
• In no event shall the Company's total aggregate liability to you for all claims arising from or related to your use of the Services exceed the amount you paid to us in the twelve (12) months preceding the claim, or INR 10,000, whichever is greater.
• In no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses.

12. Indemnification

You agree to indemnify, defend, and hold harmless True Tech Professionals Private Limited, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from: (a) your use of or access to the Services; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; (d) any content you submit, post, or transmit through the Services; or (e) your violation of any applicable law or regulation.

13. Dispute Resolution

• Governing Law: These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
• Jurisdiction: The courts of Panchkula and Chandigarh, India shall have exclusive jurisdiction over any disputes arising from or related to these Terms or your use of the Services.
• Mediation First: Before initiating any formal legal proceedings, both parties agree to attempt to resolve any dispute through good-faith mediation. The requesting party shall send a written notice of the dispute to the other party, and both parties shall attempt to resolve the matter within 30 days of such notice.
• Arbitration: If mediation fails, either party may refer the dispute to binding arbitration under the Arbitration and Conciliation Act, 1996, as amended. The seat of arbitration shall be Chandigarh, India, and proceedings shall be conducted in English.
• Class Action Waiver: To the fullest extent permitted by law, you agree to resolve any disputes on an individual basis and waive any right to participate in a class action, class arbitration, or representative proceeding.

14. Termination

• Termination by Company: We may suspend or terminate your account and access to the Services immediately, without prior notice or liability, if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law. We may also suspend Services for scheduled maintenance or security updates with reasonable notice.
• Termination by User: You may delete your account at any time through your account settings or by contacting us at info@truetechpro.io. Upon account deletion, your right to use the Services terminates immediately.
• Effect of Termination: Upon termination, your license to use the Services ceases, and we may delete your account data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, limitation of liability, indemnification, and dispute resolution.
• Data Export: Before deleting your account, you may request an export of your personal data by contacting privacy@truetechpro.io. We will provide your data in a machine-readable format within 30 days of the request.

15. Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' prior notice through one or more of the following methods:

• Email notification to the address associated with your account
• A prominent notice within the affected Platform
• An updated "Last updated" date on this page

Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Services and may delete your account.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.
